1. Introduction

These terms and conditions govern your use of the CLD Computers website and the IT services we provide. By accessing our website or engaging our services, you agree to be bound by these terms. CLD Computers is a trading name of CLD Computers Ltd, a company registered in England and Wales.

2. Services

CLD Computers provides managed IT support, cybersecurity, Microsoft 365 administration, networking, VoIP phone systems, IT hardware supply, and related consulting services. All services are subject to a separate service agreement or statement of work agreed between CLD Computers and the client.

3. Quotes & Pricing

All quotes provided by CLD Computers are valid for 30 days unless otherwise stated. Prices are exclusive of VAT unless explicitly noted. We reserve the right to adjust pricing for ongoing services with 30 days' written notice.

4. Client Responsibilities

As a client, you agree to:

  • • Provide accurate and complete information required for us to deliver services
  • • Ensure authorised personnel are available for scheduled work
  • • Maintain valid software licences for all third-party software
  • • Notify us promptly of any issues or changes affecting services
  • • Maintain appropriate data backups unless backup services are included in your agreement

5. Service Level & Support

Response times and service levels are defined in your individual service agreement. Our standard support hours are Monday to Friday, 8:00 AM to 6:00 PM. Emergency out-of-hours support may be available at additional cost, as agreed in your contract.

6. Payment Terms

Invoices are due within 14 days of issue unless otherwise agreed. We reserve the right to charge interest on overdue accounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998. We may suspend services if payment is significantly overdue.

7. Limitation of Liability

To the maximum extent permitted by law, CLD Computers shall not be liable for any indirect, incidental, or consequential damages including loss of data, revenue, or business opportunities arising from the use of our services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Intellectual Property

All content on this website, including text, graphics, logos, and design, is the property of CLD Computers and is protected by copyright law. You may not reproduce, distribute, or use any content without our written permission. Any bespoke work created for clients remains the property of the client once fully paid for, unless otherwise agreed.

9. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during the course of service delivery. This obligation survives the termination of any agreement between the parties.

10. Termination

Either party may terminate a service agreement by providing 30 days' written notice, unless a fixed-term contract is in place. We reserve the right to terminate services immediately in cases of non-payment, breach of terms, or illegal activity.

11. Force Majeure

CLD Computers shall not be liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, power outages, cyber attacks, or disruptions to third-party services.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised terms.
